1. Acceptance of Terms
By accessing aipayments.com or using any of our payment processing services (the “Services”), you (“Merchant,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Services.
2. Description of Services
AIPayments.com provides intelligent payment processing solutions for merchants, including but not limited to: payment gateway access, merchant account services, AI-assisted transaction monitoring, fraud prevention tools, merchant onboarding, and reporting and analytics. Services may vary based on the merchant agreement and applicable program.
3. Eligibility and Account Registration
To use the Services, you must:
- Be at least 18 years of age and legally capable of entering binding contracts
- Operate a legitimate business engaged in lawful commerce
- Complete our merchant application and verification process
- Provide accurate, complete, and current information at all times
We reserve the right to decline any application at our sole discretion. Providing false or misleading information during registration is grounds for immediate termination.
4. Prohibited Activities
You may not use the Services to process payments for, or in connection with, activities that:
- Violate any applicable federal, state, or local law
- Involve fraudulent, deceptive, or misleading transactions
- Are prohibited by card network rules (Visa, Mastercard, etc.)
- Relate to illegal goods or services
- Violate third-party intellectual property rights
- Constitute money laundering, terrorist financing, or sanctions violations
Certain high-risk verticals (including cannabis and cannabis-adjacent businesses) are subject to additional terms, disclosures, and compliance requirements as set forth in your merchant agreement.
5. Fees and Payments
Applicable processing rates, fees, and billing terms are set forth in your individual Merchant Agreement. You authorize AIPayments to debit your designated settlement account for applicable fees. We reserve the right to modify our fee schedule upon 30 days' written notice. Continued use of the Services after such notice constitutes acceptance of updated fees.
6. Settlement and Reserves
Transaction settlements will be made to your designated account pursuant to your Merchant Agreement. AIPayments reserves the right to establish and maintain a reserve fund to cover potential chargebacks, fraud losses, fines, or other liabilities. Reserve amounts and terms will be communicated in your Merchant Agreement and may be adjusted based on your processing history and risk profile.
7. Chargebacks and Disputes
You are responsible for all chargebacks and associated fees arising from your transactions. You agree to maintain chargeback rates within card network thresholds. Excessive chargebacks may result in additional reserves, suspension, or termination of your account. You are responsible for maintaining sufficient documentation to respond to chargeback inquiries.
8. Compliance with Laws and Card Network Rules
You are solely responsible for ensuring your business practices and use of the Services comply with all applicable laws, regulations, and card network rules, including but not limited to PCI DSS standards, AML requirements, and any industry-specific licensing obligations. AIPayments may require documentation evidencing your compliance at any time.
9. Intellectual Property
All content, technology, software, and materials comprising the AIPayments platform are the intellectual property of AIPayments.com or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You may not reverse engineer, copy, sublicense, or otherwise exploit any portion of our platform.
10. Confidentiality
Each party agrees to keep confidential the other party's non-public business information and to use such information only in connection with the Services. This obligation survives termination of these Terms.
11. Disclaimer of Warranties
The services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AIPayments does not warrant that the services will be uninterrupted, error-free, or completely secure.
12. Limitation of Liability
To the maximum extent permitted by law, AIPayments shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to these terms or your use of the services. Our aggregate liability for direct damages shall not exceed the fees paid by you to AIPayments in the three (3) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless AIPayments.com and its officers, directors, employees, and agents from and against any claims, damages, penalties, fines, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable law or card network rules; or (d) any transaction processed through your merchant account.
14. Term and Termination
These Terms are effective upon your acceptance and continue until terminated. Either party may terminate with 30 days' written notice. AIPayments may suspend or terminate your account immediately for material breach, fraudulent activity, card network mandate, regulatory requirement, or excessive chargebacks. Upon termination, all outstanding fees become immediately due and any reserve funds may be held for up to 180 days to cover potential liabilities.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of [Florida/Delaware — choose your entity state], without regard to conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in [Miami, FL]. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Modifications
AIPayments reserves the right to modify these Terms at any time. We will provide notice of material changes via email or website posting. Continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms.
17. Miscellaneous
These Terms, together with your Merchant Agreement, constitute the entire agreement between you and AIPayments regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign these Terms without our prior written consent.
